Terms of Service & Subscription Agreement
1. Agreement
These Terms of Service and Subscription Agreement (the "Terms") are a binding agreement between Presitesly LLC ("we," "us") and the business or person subscribing to MyLoadPlanner ("you," the "Subscriber"). By creating an account, checking the agreement box at sign-up, paying an invoice, or using the service, you accept these Terms. If you accept on behalf of a company, you confirm you have authority to bind it.
2. The service
MyLoadPlanner is a web application that reads cargo manifests and packing lists, organizes pieces into truck and trailer plans, checks them against configurable legal limits, and produces estimates for oversize and overweight moves, axle loading, permits, escorts and costs, along with 3D views, diagrams and exports (the "Service").
3. Accounts and users
- Up to three active users. Each subscription includes up to three (3) named individuals ("Active Users"), each with their own sign-in. Sign-ins are personal and may not be shared, pooled, resold, or used by more than one person.
- Changing users. You may replace an Active User by emailing contact@presitesly.com. Replacements are made for genuine staffing changes, not to rotate access among more than three people.
- More users. Teams needing more than three users must purchase additional subscriptions or contact us for a quote.
- Your responsibility. You are responsible for activity under your account, for keeping sign-in details confidential, and for telling us promptly if you believe an account has been compromised.
- Accurate information. You agree to provide accurate company, contact and billing information and to keep it current.
4. Subscription and billing
- Price. The subscription fee is $49.99 USD per month, plus any applicable taxes.
- Recurring charge. Your subscription begins when your first payment is received and renews automatically each month on the same date until cancelled. By subscribing you authorize us, and our payment processor, to charge or invoice the fee each month.
- Payment methods. Until card checkout is available, we bill by invoice sent from contact@presitesly.com, payable by the methods listed on the invoice. When card checkout becomes available, payments may be processed by Stripe, Inc. under its own terms, and we never receive or store your full card number.
- Late or failed payment. Invoices are due on receipt. If a payment is more than seven (7) days late or fails, we may suspend access until it is paid.
- Price changes. We may change the price with at least thirty (30) days’ notice by email. The new price applies from your next renewal after the notice period. If you don’t agree, you may cancel before it takes effect.
- Taxes. Fees exclude taxes. You are responsible for any sales, use or similar taxes, other than taxes on our income.
5. Cancellation and refunds
- Cancel any time by emailing contact@presitesly.com from your account email, or through account settings once available. Cancellation takes effect at the end of the current paid month; you keep access until then and are not charged again.
- Refunds. Fees already paid are non-refundable, and we do not give partial-month refunds, except where required by law or where we terminate the Service without cause, in which case we refund the unused portion of the current month.
- Billing errors. If you believe you were charged in error, tell us within sixty (60) days and we will correct verified errors.
6. Planning estimates only — not legal, engineering or permit advice
The Service provides estimates for planning purposes only. Truck counts, trailer recommendations, dimensions after loading, axle and gross weights, center of gravity, permit requirements, escort requirements, permit fees and cost or rate estimates are calculated from the information you provide and from general rules that may not match the specific laws, permits, equipment, routes or conditions that apply to your move.
- Legal limits vary by state, route, season and permit, and change over time. Built-in federal values (for example 8′6″ width and 80,000 lb gross under 23 CFR Part 658) and common state values are defaults you are responsible for checking and adjusting.
- You, the carrier, driver and shipper remain solely responsible for compliance with FMCSA and DOT regulations, state permits and escort rules, cargo securement (including 49 CFR Part 393), hazardous-materials rules (49 CFR Parts 171–180), hours of service, and every other applicable law.
- Always confirm weights on a certified scale, obtain permits from each state, and have qualified people verify load plans, rigging and securement before moving freight.
- Rate and cost figures are modeled estimates. They are not live market data and are not offers or quotes from us or any third party.
- Results from reading files, photos or text may contain errors. Review imported dimensions, weights and quantities before relying on them.
We are not a carrier, broker, freight forwarder, engineer, or permit service, and we do not move, insure or take responsibility for any freight.
7. Acceptable use
You agree not to: share sign-ins or exceed your Active User limit; copy, resell, sublicense or offer the Service to third parties; reverse engineer, scrape, or attempt to bypass sign-in or usage limits except as permitted by law; upload malware or content you have no right to use; use the Service to break the law or to plan moves you know to be unlawful; or interfere with the Service or other users.
8. Your data
You keep all rights to the manifests, files and plans you use with the Service ("Your Data"). Cargo files are processed in your web browser on your own device and are not uploaded to or stored on our servers; plans and settings are saved in your browser’s storage. You are responsible for keeping your own copies. Our handling of account and billing information is described in the Privacy Policy below.
9. Intellectual property
The Service, including its software, design, text, graphics and logic, is owned by Presitesly LLC and its licensors and is protected by law. We grant you a limited, non-exclusive, non-transferable, revocable right for your Active Users to use the Service for your internal business purposes during your paid subscription. If you send us suggestions, we may use them without obligation to you.
10. Availability and changes
We work to keep the Service available but do not guarantee uninterrupted or error-free operation. We may improve, change or remove features. If we make a change that materially reduces the core functionality you pay for, you may cancel and receive a refund of the unused portion of the current month.
11. Warranty disclaimer
To the fullest extent permitted by law, the Service is provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, or that results will meet any legal or regulatory requirement.
12. Limitation of liability
To the fullest extent permitted by law: (a) we are not liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, loads, contracts or data, fines, citations, permit penalties, cargo loss or damage, equipment damage, delays, or personal injury or property damage arising from moving freight, even if advised of the possibility; and (b) our total liability for all claims relating to the Service or these Terms will not exceed the fees you paid us in the twelve (12) months before the event giving rise to the claim. Some jurisdictions don’t allow certain limitations, so some of these may not apply to you.
13. Indemnification
You agree to defend, indemnify and hold harmless Presitesly LLC and its owners, employees and contractors from claims, losses, fines and expenses (including reasonable attorneys’ fees) arising from your freight operations, your use of the Service or its outputs, your breach of these Terms, or your violation of any law or third-party right.
14. Suspension and termination
We may suspend or terminate access if you fail to pay, breach these Terms, share sign-ins beyond your Active User limit, or use the Service in a way that risks harm to us or others. Where reasonable, we will give notice and a chance to fix the problem first. Sections 6, 8, 9 and 11–15 survive termination.
15. General terms
- Changes to these Terms. We may update these Terms. We will post the new version with a new effective date and email you about material changes at least thirty (30) days before they take effect. Continued use after that date means you accept them.
- Governing law. These Terms are governed by the laws of the state in which Presitesly LLC is organized, without regard to conflict-of-law rules, and disputes will be resolved in the state or federal courts located there, unless the law where you are located requires otherwise.
- Entire agreement. These Terms, any invoice or order form, and the Privacy Policy are the entire agreement about the Service. If any provision is unenforceable, the rest remain in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger or sale of the business.
- Notices. We send notices to your account email. You can reach us at contact@presitesly.com.
Privacy Policy
- What we collect. When you subscribe we collect your company name, contact name, email, phone, optional USDOT or MC number, the names and emails of your Active Users, the time you accepted these Terms, and billing records. If card checkout is used, Stripe collects payment details under its own privacy policy; we receive confirmation of payment, not your full card number.
- What we don’t collect. Your cargo files, manifests and load plans stay in your browser on your device. We don’t upload, read, or store them.
- How we use it. To set up and manage accounts, send invoices, receipts and service notices, provide support, prevent misuse, and meet legal and tax obligations.
- Service providers. Sign-up forms are processed through our website host (Netlify) and delivered to our email. Payments may be processed by Stripe. These providers handle data only to provide their services to us.
- We don’t sell your data and don’t share it for advertising.
- Retention. We keep account and billing records while you subscribe and afterward as required for tax and legal purposes.
- Your choices. You can ask to see, correct, or delete your account information by emailing contact@presitesly.com, subject to records we must keep by law. You can clear plans saved on your device in your browser settings.
- Security. We use reasonable measures to protect your information, but no method of transmission or storage is completely secure.
- Children. The Service is for businesses and is not directed to anyone under 18.
- Changes. We will post updates here with a new effective date and email you about material changes.
